end user license agreement

This End User License Agreement ("Agreement") is a legal contract between you ("Licensee") and Nudist Audio LLC ("Licensor") for any audio software, plugin, sample content, or related materials (the "Software"). By installing, downloading, or using the Software, you agree to be bound by this Agreement.

Grant of License

Subject to the terms of this Agreement and your payment of any applicable fees, Licensor grants you a non-exclusive, non-transferable, revocable license to install and use the Software on up to three (3) devices that you personally own or control, solely for your own music production, creative, or commercial audio work.

Ownership

The Software is licensed, not sold. Licensor and its licensors retain all right, title, and interest in and to the Software, including all intellectual property rights. No rights are granted to you other than as expressly set forth in this Agreement.

Restrictions

You may not:

• copy, distribute, sell, rent, lease, sublicense, or otherwise transfer the Software to any third party;
• reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software, except to the extent such activity is expressly permitted by applicable law;
• remove or alter any copyright, trademark, or other proprietary notices contained in the Software;
• use the Software to develop a competing product;
• share, distribute, or publish your license key or account credentials.

Output and Content

You may freely use any audio output you create using the Software (including any included presets, samples, or instruments) in your musical compositions, recordings, performances, soundtracks, and other creative works, for both personal and commercial purposes, without any additional fee or royalty owed to Licensor. You may not, however, redistribute the included samples, presets, or any other Software content in a form that allows them to be extracted or reused outside the context of a finished musical work.

Updates

Licensor may, but is not obligated to, provide updates, upgrades, or new versions of the Software. Any such updates are subject to this Agreement unless they are accompanied by their own license terms.

Termination

This Agreement is effective until terminated. Your rights under this Agreement will terminate automatically without notice if you fail to comply with any of its terms. Upon termination, you must cease all use of the Software and destroy all copies in your possession.

Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS OR THAT ITS OPERATION WILL BE UNINTERRUPTED OR ERROR-FREE.

Limitation of Liability

IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR EQUIPMENT, ARISING OUT OF OR RELATED TO YOUR USE OF THE SOFTWARE, EVEN IF LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. LICENSOR'S TOTAL LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE.

Governing Law

This Agreement is governed by the laws of the United States and the state in which Nudist Audio LLC is established, without regard to conflict of law principles.
